- "Services" — business consulting engagements including Succession & Transition Planning, Competitive Positioning Review, and Strategy Retreat Facilitation.
- "Agreement" — these Terms and Conditions together with any signed engagement letter.
- "Deliverable" — the written output produced at the conclusion of a consulting engagement.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to be bound by these Terms. If you are acting on behalf of a company or organization, you represent that you have authority to bind that entity.
3. Description of Services
chinookisww Strategy provides professional business consulting services in Alberta, Canada. Our three service offerings are as follows:
- Succession & Transition Planning — a 5-week structured engagement producing a written transition guide and including two follow-up advisory sessions. (CAD $235)
- Competitive Positioning Review — a 4-week analytical service producing a visual positioning report and including a 90-minute debrief session. (CAD $480)
- Custom Strategy Retreat Facilitation — a 2-day facilitated leadership retreat including pre-retreat preparation and a post-retreat written summary and action plan. (CAD $910)
Full service specifications are detailed in the engagement letter provided to each client prior to commencement of work.
4. Engagement Process
All consulting engagements are initiated by a signed engagement letter that specifies scope, timeline, deliverables, and fees. No consulting work commences until both parties have signed the engagement letter. Contact form submissions and initial conversations do not constitute a contractual engagement.
5. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information in all communications and forms
- Cooperate with reasonable requests for information required to deliver the services
- Not misuse the website, including through attempts to disrupt, damage, or gain unauthorized access
- Not reproduce, distribute, or commercially exploit content from our website without written consent
- Comply with all applicable Canadian laws in connection with your use of our services
6. Intellectual Property
All content on this website — including text, graphics, design, and methodological frameworks — is the intellectual property of chinookisww Strategy. You are granted a limited, non-exclusive, non-transferable license to access the website for personal or business evaluation purposes.
Deliverables produced during a consulting engagement become the property of the client upon full payment. chinookisww Strategy retains the right to use anonymized and aggregated insights from engagements for internal methodology development and professional development purposes, subject to confidentiality obligations.
7. Payment Terms
- All fees are stated in Canadian dollars (CAD) inclusive of applicable taxes unless noted otherwise
- Payment terms are specified in the engagement letter
- Standard payment terms are 50% at engagement commencement and 50% upon delivery of the final deliverable, unless otherwise agreed in writing
- Accepted payment methods include electronic bank transfer and major business credit cards
- Overdue payments may attract interest at the rate of 1.5% per month
8. Cancellation and Refund Policy
- Cancellation of an engagement before work commences: full refund of any deposit paid
- Cancellation after work commences: client is responsible for fees proportional to work completed at date of cancellation
- Retreat facilitation engagements cancelled within 14 days of the scheduled retreat date are subject to a cancellation fee of 50% of the total engagement fee
- Refunds are processed within 14 business days of a confirmed cancellation
9. Confidentiality
All consulting engagements are subject to a mutual non-disclosure agreement included in the engagement letter. chinookisww Strategy will not disclose client information to third parties without explicit written consent, except as required by law. This website's Privacy Policy governs data collected through website interactions.
10. Disclaimers
Consulting services provided by chinookisww Strategy are based on professional judgment and publicly available information. We do not provide legal, financial, accounting, or regulated professional advice. Our recommendations are intended to inform decision-making, not to substitute for specialized professional advice in regulated fields.
This website is provided "as is" without warranties of any kind, express or implied. We do not represent that the website will be continuously available or free from errors.
11. Limitation of Liability
To the maximum extent permitted by Alberta law, chinookisww Strategy's total liability arising from or in connection with any engagement shall not exceed the total fees paid for that specific engagement. We shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of our services or website.
12. Indemnification
You agree to indemnify and hold harmless chinookisww Strategy, its principals, and consultants from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of our services or website, your violation of these Terms, or your breach of any applicable law.
13. Termination
Either party may terminate a consulting engagement by written notice as specified in the engagement letter. chinookisww Strategy reserves the right to terminate website access for users who violate these Terms. Termination does not affect rights or obligations accrued prior to the termination date.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. The courts of Alberta shall have exclusive jurisdiction over any disputes arising from or related to these Terms or our services.
We encourage informal resolution of disputes. Please contact us at [email protected] before initiating any formal proceedings. We will make reasonable efforts to resolve issues within 30 days.
15. General Provisions
- Entire Agreement: These Terms, together with any applicable engagement letter, constitute the entire agreement between the parties regarding the subject matter herein.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign rights under these Terms without our written consent. We may assign our rights in the context of a business reorganization or acquisition.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by updating the "Last Updated" date above and, where practical, through a notice on our website. Continued use of our website following notification constitutes acceptance of the updated Terms.
